1) Acceptance of Terms

These Terms of Service (“Terms”) are a binding agreement between Structure Financial Inc. (“Structure,” “we,” “our,” or “us”) and you (“you” or “User”) governing your access to and use of the Site. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

• Minimum Age. You must be 18 years or older to use the Site.
• Language. These Terms are in English, and the English version controls.
• Intended Audience. The Site is made available to users in the USA, EU/EEA, UK, and elsewhere except where prohibited by applicable law and sanctions.

2) Scope (What This Covers)

These Terms cover only the marketing website, including the email signup/waitlist and newsletter features. The Site does not currently provide account sign‑in, wallet connections, trading functionality, AI features, or access to any paid service. If Structure later offers product features (e.g., strategy design, compilation, DEX execution, API/MCP access, subscriptions), those features will be governed by separate product terms presented at that time. In the event of a conflict between these Terms and any later Product Terms, the Product Terms will control for those product features.

3) No Advice; Informational Only

Content on the Site is for informational purposes only and does not constitute investment, legal, tax, accounting, or other professional advice, an offer, or a solicitation. Past performance is not indicative of future results.

4) Privacy and Data (Site Only)

• Email Only. On the Site we collect email addresses you submit to join the waitlist or newsletter. You can unsubscribe at any time using links provided in our emails or by contacting Support.
• Hosting/CDN. We use Cloudflare to host and deliver the Site; Cloudflare may set strictly necessary cookies required for security and delivery. We do not currently use analytics platforms, advertising pixels, a cookie consent manager, or a CRM on the Site.
• No Wallet / Keys. We do not collect wallet information on the Site and we do not store private keys.
• Retention. We retain information for as long as permitted by applicable law and operational needs, unless you exercise applicable rights (e.g., unsubscribe).
• Privacy Notice. Additional details may be provided in a Privacy Notice referenced on the Site.

5) Acceptable Use

You agree not to:

• violate any law, regulation, sanctions, or export‑control restrictions;
• engage in fraud, deception, market manipulation, or other abusive activity;
• upload, transmit, or link to malware or harmful code;
• access or attempt to access non‑public areas, break or circumvent security, or scrape/crawl the Site except as allowed by robots.txt;
• infringe or misappropriate intellectual property, publicity, or privacy rights;
• use the Site to harass, threaten, dox, or otherwise harm others.

We may suspend or terminate your access at any time if we believe you breach these Terms or applicable law.

6) Intellectual Property; Feedback

The Site, including text, graphics, logos, and other materials, is owned by Structure or its licensors and protected by law. We grant you a limited, revocable, non‑exclusive, non‑transferable license to access and view the Site for personal or internal business purposes.

Feedback. If you submit feedback or suggestions, you grant Structure a perpetual, worldwide, royalty‑free, irrevocable license to use them without restriction or obligation to you.

7) Third‑Party Services and Mentions

The Site may reference or link to third parties (for example: Drift, the Solana network, Helius RPC, Pyth, Cloudflare). We do not control and are not responsible for third‑party services, content, or policies, and references do not imply endorsement. You use third‑party sites and services at your own risk.

8) Sanctions, Export Controls, and Geoblocking

You represent and warrant that you are not a person or entity on any sanctions list (including those maintained by OFAC (U.S.), HMT (UK), or the EU), are not located in a comprehensively sanctioned jurisdiction, and will not use the Site contrary to applicable export‑control or sanctions laws. To comply with law or protect the business, we may geoblock, restrict, or terminate access to the Site at any time, without liability, to the maximum extent permitted by law.

9) Changes to the Site and to These Terms

We may update the Site and these Terms from time to time. Changes take effect upon posting to the Site. We will provide banner notice for material updates. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

10) Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRUCTURE AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, secure, or error‑free, or that content will be accurate or complete.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRUCTURE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF STRUCTURE FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE AMOUNTS YOU PAID (IF ANY) TO USE THE SITE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, THE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED.

12) Indemnity

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Structure and its affiliates, officers, directors, employees, and agents from and against any third‑party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or third‑party rights.

13) DMCA Notice and Takedown

If you believe content on the Site infringes your copyright, send a notice that complies with 17 U.S.C. § 512(c)(3) to our designated agent:

Your notice must include the required elements under the DMCA. We may remove content and terminate repeat infringers as appropriate. Note: For U.S. DMCA safe‑harbor protections, a designated agent should be registered with the U.S. Copyright Office.

14) Governing Law; Binding Arbitration; Waivers

Governing Law. These Terms are governed by the laws of the British Virgin Islands (“BVI”), without regard to conflict‑of‑law rules.

Binding Arbitration (BVI). Any dispute, controversy, or claim arising out of or relating to these Terms or the Site, including its existence, validity, interpretation, performance, breach, or termination, shall be finally resolved by binding arbitration administered by the BVI International Arbitration Centre (BVI IAC) in accordance with the BVI IAC Arbitration Rules then in force, which rules are deemed incorporated by reference into this clause.

• Language: English
• Tribunal: One arbitrator unless the Rules provide otherwise.
• Confidentiality: The arbitration and any related proceedings shall be confidential to the fullest extent permitted by law.
• Relief: The arbitrator may grant any relief available in court, including injunctive relief. Notwithstanding the foregoing, either party may seek temporary or injunctive relief in any court of competent jurisdiction to protect its confidential information or intellectual property pending arbitration.

Class‑Action Waiver. To the fullest extent permitted by law, disputes are resolved only on an individual basis and may not be brought as a plaintiff or class member in any purported class, consolidated, collective, or representative proceeding.

Jury‑Trial Waiver (to the extent any dispute is litigated rather than arbitrated). You and Structure waive any right to a jury trial to the maximum extent permitted by law.

Time to Bring Claim. Any claim must be filed within one (1) year after the claim arose, or be forever barred, to the fullest extent permitted by law.

15) Miscellaneous

• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force.
• No Waiver. Failure to enforce a provision is not a waiver of the right to do so later.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets, or by operation of law.
• Force Majeure. We will not be liable for failure or delay resulting from any event beyond our reasonable control, including internet or utility failures, acts of God, labor disputes, or acts of government.
• Entire Agreement. These Terms constitute the entire agreement between you and Structure regarding the Site and supersede prior understandings on the same subject.
• Order of Precedence. If Structure later presents product‑specific terms, those terms govern those product features in the event of a conflict.
• Headings. Headings are for convenience only.
